Registered Users’ Specific Terms and Conditions

The following terms and conditions apply to your use of the registered users only section of Software New Zealand’s (Software NZ) website (the Site). By completing the registration process and/or accessing the “registered users only” section of the Site, you are stating that you are eligible for registration and that you agree to be bound by all of the following terms and conditions, the General Terms and Conditions of Use and the Privacy Statement without qualification. If you do not agree to be bound by these terms and conditions, you must stop using and accessing the Site.

1. Registration Data: You confirm that the data you provide to Software NZ on registering as a registered user is at the time you provided it current, complete and accurate, and you agree to maintain and update the data as required to keep it so. You also confirm that the data or any other information provided through the registration process, or subsequent to registration, is not defamatory, misleading or deceptive, or likely to mislead or deceive.
    
2. Security: You must ensure that your password is kept secure and confidential and not revealed to any other person. You are entirely responsible for all activities that occur through the use of your password. You must notify Software NZ immediately at [insert email address] of any unauthorised use of your password or any other breach of security. On receipt of your notification, Software NZ will cease processing transactions that use that password.
    
3. Reliance on Password: You release Software NZ from all claims arising from any reasonable reliance by Software NZ on any use of your password, including Software NZ disclosing information relating to your registration and/or affairs with Software NZ.
    
4. Confidentiality: You acknowledge the confidential and proprietary nature of the information provided to registered users of the Site. You accordingly undertake to keep such information confidential, use it only for the purposes for which it is intended and not disclose any of it until it becomes public knowledge through no fault on your part. This obligation of confidentiality will continue indefinitely.
    
5. Termination: You or Software NZ may terminate your registration at any time for any reason (including without limitation, a failure by you to comply with any of the Site’s terms and conditions). Once terminated, you will not access the Site in any manner or for any reason without Software NZ’s prior written consent.
    
6. No Representations: The availability of information on the Site does not constitute a recommendation by Software NZ or any other person to enter into any transaction. Nor is Software NZ to be treated as an issuer or promoter or as offering securities to any person. If you enter into any transaction subsequent to accessing the Site, you do so entirely in reliance on your own judgement and inquiries and not in reliance on any statements, warranties or representations made to you or to any other person by or on behalf of Software NZ. You release Software NZ from all claims arising from any statement or representation made on the Site. Accordingly all express or implied warranties and representations are excluded to the maximum extent permitted by law.
    
7. Professional Advice: Software NZ strongly recommends that you confirm any information appearing on the Site relating to a particular transaction. Software NZ also recommends that potential contracting parties discuss their particular requirements and consult their professional advisors before proceeding with transactions.
    
8. Law: These terms and conditions are governed by and will be construed in accordance with the laws of New Zealand and you submit to the jurisdiction of the courts of New Zealand.
