Use of the Software New Zealand logo.

The New Zealand Software Association Inc (NZSA) currently owns the Software New Zealand name and logo (the Mark).

NZSA has agreed to license its company members (Members) to use the Mark, to indicate that they are current financial members of NZSA, subject to the following terms and conditions.

Each Member’s licence to use the Mark is subject to the Member having paid its membership fee to NZSA. The licence commences on the date of payment of the Member’s annual subscription or membership fee to NZSA.

If the Member does not renew its membership with NZSA, its licence to use the Mark will expire on the anniversary of the date of last payment of the membership fee.

Each Member may use the Mark on its letterhead, invoices, website, business cards and related materials to identify its participation as a Member and, where possible, will use the phrase “member of Software New Zealand” or words to similar effect.

Each Member undertakes:

• not to modify the Mark or materially change the dimensions of the Mark;
• to use the Mark only in relation to the products and services provided by that Member;
• not to do anything done that may adversely affect NZSA’s rights in relation to the Mark;
• not to do anything that may bring the Mark into disrepute, damage the goodwill or reputation attaching to the Mark or NZSA;
• not to register any trade mark containing the Mark or any mark, words or phrase containing the Mark or words or phrases similar to the Mark.

No Member may:

• grant a licence to any person in relation to the Mark; or
• assign any of its rights under these Terms.
